AmCham proposes amendments to the Companies Act to allow the choice of governance models and simplify share transfers to employees. Introducing a monistic management system for LLCs would enhance flexibility and attractiveness for investors. The proposal includes the introduction of non-voting employee shares and simplified registration procedures, which would reduce costs and speed up processes. This would encourage employee motivation through ESOP models, facilitate talent retention, and strengthen the competitiveness of Croatian companies in the global market.
